Understanding Fund Structures — LLCs, LPs, and JVs

When you invest in an oil project, you’re not just buying barrels of oil — you’re becoming part of a business entity. The most common structures are LLCs, LPs, and JVs.

1. LLC (Limited Liability Company)

An LLC combines flexibility and protection. It limits your personal liability while allowing the company to manage operations easily. Investors are usually called members.

2. LP (Limited Partnership)

An LP has two types of partners

• General Partners (GPs): They manage the project and assume responsibility.
• Limited Partners (LPs): They contribute capital and share profits but don’t manage day-to-day operations.

3. JV (Joint Venture)

A JV is a partnership between two or more entities who share the costs, risks, and profits of a project. It’s common when multiple companies collaborate on a single drilling program.

Which Structure Is Best?

It depends on the project. LPs are common for oil funds, while LLCs and JVs often work better for smaller, specific projects.
