What Is a Private Placement Memorandum (PPM)?
A compliance-focused guide to understanding PPMs and how to evaluate oil and gas investment documents safely.
When you invest in a private oil deal, one of the first documents you’ll receive is a Private Placement Memorandum (PPM). It’s basically the rulebook for the investment — a detailed guide that explains what you’re investing in, how it works, and what the risks are.
What the PPM Includes
- Project Overview: A description of the drilling program or fund.
- Management Team: Background on the operators and their experience.
- Financial Structure: How money flows in and out of the investment.
- Risk Factors: What could go wrong and how those risks are managed.
- Legal Disclosures: The fine print required by securities laws.
Why It Matters
The PPM protects both the investor and the company offering the deal. It ensures that everything is disclosed up front, giving investors the information they need to make an informed decision.
If a company doesn’t provide a PPM, that’s a red flag — it means they’re not following the proper legal steps.
